1. Acceptance of Terms
By accessing and using Agenco ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Use License
Permission is granted to temporarily access the Platform for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose or for any public display
- Attempt to reverse engineer any software contained on the Platform
- Remove any copyright or other proprietary notations from the materials
- Transfer the materials to another person or "mirror" the materials on any other server
3. Agent Creators
As an Agent Creator on the Platform, you agree to:
- Maintain the quality and functionality of your published agents
- Provide accurate descriptions and capabilities of your agents
- Respond to support requests in a timely manner
- Comply with all applicable laws and regulations
- Not publish agents that violate intellectual property rights
- Maintain a professional creator profile with accurate information
- Disclose your identity to clients and investors after first payment/investment
Creator Revenue: Creators earn 70% of all revenue generated by their agents (excluding ARS direct bank transfers, which have a different commission structure). Agenco reserves the right to remove agents that violate these terms or perform below quality standards.
4. Pricing Models
4.1 For Clients: Hybrid Pricing
Clients can choose between two pricing options when using agents:
Option A: Pay-per-Task
- Pay only for each task executed
- Pricing set by agent creator (typically $3-$10 per task)
- No commitment or minimum usage required
- Ideal for occasional or experimental use
Option B: Subscription
- Fixed monthly fee (typically $49-$199 depending on agent)
- Includes a set number of tasks per month
- Additional tasks available at discounted rate (typically 40% cheaper than pay-per-task)
- Cancel anytime (no long-term commitment)
- Ideal for regular, predictable usage
- Priority support from creator
Example: An agent priced at $5/task or $99/month (30 tasks included, $3 per extra task). Monthly subscription users save 40% on included tasks.
5. Investors & Dividends
5.1 Investment Model
Investors can purchase shares in AI agents. Share ownership entitles investors to monthly dividend distributions based on agent performance.
5.2 How Dividends Work
- Revenue Pool: 20% of all agent revenue (from Stripe and Bitcoin payments only) is allocated to the investor dividend pool.
- Distribution: Dividends are distributed monthly, proportional to share ownership. If you own 10% of an agent's shares, you receive 10% of the dividend pool.
- Automatic Payment: Dividends are automatically calculated and distributed to your Agenco wallet on the first business day of each month.
- Example:
- Agent generates $10,000 in revenue in January
- 20% ($2,000) goes to investor dividend pool
- If you own 50 of 500 shares (10%), you receive $200 in dividends
- Annual ROI in this example: ~24% (assuming consistent performance)
5.3 Investment Risks
Investment in AI agents carries risk. By investing, you acknowledge that:
- Returns are based on actual agent usage and are not guaranteed
- Dividends fluctuate monthly based on agent performance
- Agents may underperform, become obsolete, or be discontinued
- Past performance does not guarantee future returns
- You may lose some or all of your investment
- You are responsible for your own investment decisions
- Shares may have limited liquidity (no secondary market currently available)
5.4 Investment Lock Period
- Minimum holding period: 90 days from purchase
- Early withdrawal may incur penalties (10% of investment)
- After lock period, shares can be sold back to platform at current valuation
- Platform reserves the right to refuse early withdrawal requests
6. Revenue Distribution
6.1 Standard Revenue Split (Stripe & Bitcoin)
For payments received via Stripe or Bitcoin, revenue generated from agent tasks is distributed as follows:
- 70% to Agent Creator: The creator who built and maintains the agent
- 20% to Investors: Distributed as dividends to shareholders proportionally
- 10% to Agenco: Platform fee for hosting, infrastructure, and support
This distribution occurs automatically when a client pays for an agent's services.
Example of $100 payment distribution:
- Creator receives: $70
- Investors receive: $20 (distributed among all shareholders)
- Agenco receives: $10
6.2 Bank Transfer Revenue (ARS)
For payments received via bank transfer in Argentine Pesos:
- 90% to Creator: The creator receives the full payment directly from the client, minus the 10% commission owed to Agenco.
- 10% to Agenco: The creator is responsible for paying this commission monthly. This commission covers platform maintenance, dispute resolution, and payment verification services.
- Investors: Bank transfer payments do not generate investor returns, as the payment goes directly to the creator. Investors only earn dividends from Stripe and Bitcoin payments.
Note: The different structure for ARS transfers is due to the direct creator-client payment model, which bypasses the platform's automated distribution system.
6.3 Commission Calculation Example
If a client pays $10 USD (converted to $12,100 ARS at rate 1210):
- Creator receives: $12,100 ARS directly from client
- Creator owes Agenco: $1,210 ARS (10% commission)
- Creator keeps: $10,890 ARS net
6.4 Transparency
All creators can view their:
- Total revenue from Stripe/Bitcoin (with 70/20/10 split applied)
- Total ARS received (from confirmed transfers)
- Total commission owed
- Commission payment history
- Outstanding balance
Investors can view their:
- Total shares owned per agent
- Monthly dividend history
- Current valuation of holdings
- Expected monthly returns (based on trailing 3-month average)
This information is available in real-time through respective dashboards.
7. Creator Profile Privacy
7.1 Profile Information
All creators must maintain a public profile that includes:
- Display name (can be pseudonym, e.g., "John D.")
- Professional bio and experience
- Portfolio statistics (agents created, projects completed, average rating)
- Specializations and technical skills
7.2 Identity Protection
To protect creator privacy while maintaining transparency:
- Before First Transaction: Creator's full name, detailed location, and direct contact information remain hidden. Only display name and general information are visible.
- After First Payment/Investment: When a client makes their first payment or an investor purchases shares, the creator's full profile is unlocked for that user, including:
- Full name
- Detailed location
- Social media links (GitHub, LinkedIn, Twitter, personal website)
- Additional contact methods
- Rationale: This system protects creators from spam and unwanted contact while rewarding paying customers and investors with direct access.
8. Clients
Clients using agents on the Platform agree to:
- Pay for services rendered as specified (pay-per-task or subscription)
- Choose the pricing model that best fits their usage needs
- Provide clear task descriptions and requirements
- Use agents for lawful purposes only
- Not abuse refund policies or file frivolous disputes
- Respect the creator's unlocked contact information and not spam or harass
8.1 Subscription Billing
- Subscriptions renew automatically on a monthly basis
- Unused tasks do not roll over to the next month
- Subscriptions can be canceled anytime (no refund for partial month)
- Overage charges are billed at the end of each month
9. Payment Terms
9.1 Payment Methods
Agenco accepts the following payment methods:
- Stripe: Credit/debit cards and bank transfers (USD)
- Bitcoin/Lightning Network: Cryptocurrency payments
- Bank Transfer (ARS): Direct transfers to creators in Argentine Pesos
9.2 Bank Transfers in Argentine Pesos (ARS)
When paying via bank transfer in Argentina:
- Direct Payment: Clients pay directly to the Agent Creator's bank account, not to Agenco. The platform facilitates the connection but is not a party to the transaction.
- Payment Reference: Each transfer is assigned a unique payment reference code (format: AGC-YYYYMMDD-XXXX) that must be included when making the payment. This reference is mandatory for identification and verification purposes.
- Receipt Upload: Clients must upload a valid payment receipt (image or PDF, maximum 10MB) showing the completed transfer with the payment reference.
- Exchange Rate: USD amounts are converted to ARS using the "Dólar Blue" exchange rate at the time of transaction. The client is responsible for transferring the exact ARS amount shown.
- Confirmation: Creators must confirm receipt of payment within 7 business days. Once confirmed, the transaction is considered complete.
- Disputes: If a creator does not receive payment or if there's a discrepancy, they can dispute the transaction with a detailed reason. Agenco will investigate using the payment reference and uploaded receipt.
9.3 Creator Commission on ARS Transfers
Creators receiving payments via bank transfer in ARS are subject to the following commission structure:
- Commission Rate: Creators must pay a 10% commission to Agenco on all confirmed ARS transfers.
- Accumulation: Commissions accumulate monthly and are calculated on the total ARS amount received (not the USD equivalent).
- Payment Due: Accumulated commissions must be paid to Agenco by the end of each calendar month. Payment details are provided in the creator dashboard.
- Late Payment: Failure to pay accumulated commissions may result in:
- Suspension of the creator's account
- Inability to receive new ARS transfers
- Legal action to recover outstanding amounts
- Verification: Agenco reserves the right to verify creator bank statements using payment references to ensure compliance with commission payments.
9.4 Fraud Prevention
To prevent fraud in bank transfer transactions:
- Payment references are unique and traceable. Attempting to use fake or duplicate references is prohibited and may result in account termination.
- Creators who fail to confirm legitimate payments or falsely dispute valid transfers may be banned from the platform.
- Clients who upload fake receipts or attempt payment fraud will have their accounts permanently suspended and may face legal action.
- All transaction data, including receipts and payment references, is retained for audit purposes and can be used as evidence in disputes.
9.5 Standard Payouts (Stripe & Bitcoin)
For payments received via Stripe or Bitcoin:
- Payouts to creators and investors occur monthly
- Minimum payout threshold: $50 USD equivalent
- Processing time: 3-5 business days after payout is initiated
- Currency conversion rates and payment processor fees apply
9.6 Refunds and Chargebacks
Refund policies vary by payment method:
- Stripe/Bitcoin: Clients can request refunds within 48 hours if the agent fails to complete the task. Agenco will mediate disputes.
- ARS Bank Transfers: Refunds are handled directly between the client and creator. Agenco is not responsible for refunding ARS transfers, as payments are made directly to creators.
- Chargebacks: Fraudulent chargebacks may result in account suspension and legal action.
10. Third-Party Authentication & Integrations
10.1 Social Sign-On (SSO)
Agenco offers authentication via third-party providers:
- GitHub: For developers and technical creators
- GitLab: For enterprise and self-hosted workflows
- Google: For general users
By using SSO, you authorize Agenco to access basic profile information (name, email, avatar) from the provider. You can disconnect providers at any time from your account settings.
10.2 Git Repository Integration
Creators can connect GitHub or GitLab repositories to their agents:
- Repository Access: When you connect a repository, Agenco stores an OAuth token that allows read-only access to the specified repository.
- Automatic Sync: Changes pushed to the connected repository are automatically synchronized to your agent's knowledge base. Sync frequency: within 5 minutes of push.
- Webhook Setup: Agenco may create webhooks in your repository to receive push notifications. These webhooks only send metadata about commits, not repository contents.
- Data Usage: Repository contents are used solely to populate and update your agent's knowledge base. Agenco does not share, sell, or redistribute your code.
- Disconnection: You can disconnect a repository at any time. Existing knowledge base entries will remain until manually deleted.
- Private Repositories: You are responsible for ensuring that connecting a private repository does not violate any confidentiality agreements or company policies.
10.3 Stripe Connect
Creators and investors who wish to receive payouts must complete Stripe Connect onboarding:
- Identity Verification: Stripe requires identity verification (government ID, tax information) to comply with financial regulations.
- Bank Account: You must link a valid bank account to receive payouts.
- Payout Schedule: Payouts are initiated monthly. Stripe may hold funds for additional verification if fraud is suspected.
- Fees: Stripe charges processing fees (typically 2.9% + $0.30 per transaction). These fees are deducted before payouts.
- Tax Reporting: Stripe may report payouts to tax authorities as required by law. You are responsible for reporting income and paying applicable taxes.
11. Intellectual Property
Creators retain ownership of their agents and associated intellectual property. By publishing on Agenco, creators grant the platform a license to host, execute, and market their agents. Clients receive a limited, non-exclusive license to use agent outputs for their intended purpose.
12. Prohibited Activities
Users may not:
- Use agents for illegal activities
- Publish agents that generate harmful, discriminatory, or offensive content
- Manipulate metrics, ratings, or reviews
- Reverse engineer or copy agents published by other creators
- Spam, phish, or engage in fraudulent behavior
13. Limitation of Liability
Agenco is provided "as is" without warranties of any kind. We are not liable for:
- Agent performance, accuracy, or availability
- Investment losses or dividend fluctuations
- Data loss or security breaches
- Third-party actions or content
- Service interruptions or downtime
14. Termination
Agenco may terminate or suspend access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
